<p>It has been a bit longer than I like for an update but it has been a long few weeks for me…</p>
<p>As many of you know I lost my grandfather in early April. He was someone I truly looked up to; a WW2 veteran, a Marine, a hard worker, a father, husband, but most of all to me a friend. I am the oldest grandson and I am the only grandchild who spent a couple of years living with my grandparents as well as my great grandmother who was born in 1899. My grandfather taught me a lot about sacrifice, hard work, loyalty, and flat out guts to make decisions on your own. He taught me how important living a good life was but to never forget how to treat the people around you. He taught me to make life better for others, no matter if it was a smile, compliment or a tip. I try very hard to live with these values.</p>
<p>As we continue to roll through the end of winter and into spring, I can&#8217;t even begin to tell you how many projects we have going on.</p>
<p>Every day we have more partners, distribution vendor set ups, visitors from the USA and abroad, new retailers, more inquires&#8230; It&#8217;s not more of the same it&#8217;s more of everything! Our Walmart project continues to evolve and we are very close to the big expansion. Our team works with Bentonville almost daily… our new friends at Walgreens have helped us get started what could turn out to be another very nice major project.</p>
<p>All in all what else could we ask for as the Relaxation Revolution rolls on? Vitamin water spent over $60,0000,000 in ten years building their brand; we doing wonders on 2% of that&#8230;</p>
<p>We have added over 20,000 Facebook friends and 5000 Twitter followers in just over 4 months.</p>
<p>We have made improvements to our office getting ready for an onslaught of new hires.</p>
<p>Our Euro-Asia project is still developing, taking longer than I thought for formal announcements, sure, but far too important and tedious to hurry, (it will be crystal clear when it&#8217;s announced why it took so long).</p>
<p>I will be traveling to Europe on May 23 -26 to meet with our team of new players (would you be in a hurry if Bill Gates wanted to help sculpt your new computer company? I think not! )</p>
<p>In the coming weeks the news will keep developing and the wheels will keep rolling. I have heard and read enough rhetoric for a lifetime, the bottom line is simple; you are the investors. If you don&#8217;t see the progress, the dedication, the additions, as part of a major growth then there is not much I can say will change that.</p>
<p>If you cannot see how our circle of friends helps build this brand both locally, regionally and even nationally how can I possibly show you in another way?</p>
<p>If you are not investing in our Company to help it succeed then why would you? Our journey is far from over; as a matter of fact it will never be over! It will just keep evolving.</p>
<p>We are disciplined, determined and on target for one of the biggest beverage stories of our lifetime and every day I am energized by the things that are accomplished and the lives that are changing.</p>
<p>In my February 25 update, I spoke about up-listing and all types of options for us and that I would spend a lot of time with consultants and advisors on clarifying a path to the big boards. Well that path has become more clear, in early April we formed BeBevCo, Inc.. It&#8217;s not Bebida Beverage Company it&#8217;s not BBDA. It is a Brand New Company. In the coming weeks the corporate kit will be turned over to our attorney and the process of auditing &amp; new accounting will be established.</p>
<p>After all the conversations and facts are on the table, I made the best decision for the future of our Company and its Shareholders.</p>
<p>Now I know that this decision and update probably will create more questions than answers on this subject. I am also positive that the haters and rhetoric mongers will have a feast, but it is fairly simple:</p>
<p>Up-listing BBDA with its pre-Brian Weber random owners and random business failures was not our best option. Buying a better vehicle had too many risks and building a nice new vehicle seemed more my style. We are still working out many of the details, but I promise everyone reading this we will be responsible and clear as possible during the process. When the transition happens, every single shareholder will get his equal piece of our new BeBevCo. So, the more BBDA you own, the more of the new BeBevCo you will own when the transition is made.</p>
<p>No One gets left out. There will be no bait and switch, no OTC games… We will finally be free of the micro cap stigma and move to a welcoming home at the NYSE. This process will not happen until late 2013 or early 2014 but it is the path I have chosen and I hope you all will join me.</p>

<p>It’s been a very busy January, February and March is starting off even busier! In an effort to keep you all updated, and in the interest of responding to an issue that has recently come up, I will like to give you an update on BBDA’s share structure.</p>
<p>We have a self-imposed cap of 2.4 billion shares outstanding and a total authorized limit of 2.5 billion shares.</p>
<p>Shares are a form of currency and a leveraging tool, as well as using as collateral that we utilize to make the investments in people and infrastructure to grow BeBevCo. An issuance of shares does not automatically mean they are free trading. Shares can be issued as free trading or restricted for the purpose of growing this business. We also have two stock certificates issued years ago that have never been deposited or traded in the public marketplace that the company has reasons to be  actively trying to recover (around 20 million shares) and return it to the Company for use in growth initiatives.  </p>
<p>With the rapid expansion we are undertaking, we are using stock as a means to raise the funds or borrow funds to complete deals. I will not hold our growth or our brands hostage if we need capital to facilitate our aggressive growth over the coming months and years.</p>
<p>Right now, we are looking at over 100,000 hours of sampling in 2013, with the new, yet to be announced, retail partners. This is requiring a huge increase in investment costs in every facet of our business.</p>
<p>In closing, if you have a great deal of  apprehension in being invested with a rapidly growing company such as BeBevCo which has increasing financial requirements because of  its success in penetrating markets and building our revenue base, maybe you should not be invested with us. Everyone has their own risk parameters and time horizons. I, for one, know how well we are doing and see the opportunity that developing before us. As the saying goes, “Strike when the iron is hot”. And we intend to strike.</p>
<p><strong><em>My job as CEO of this Company is to grow this business. </em></strong>If I take care of my job, <strong><em>and I will</em></strong>, the stock price will take care of itself.</p>
<p>Although nothing can be considered a direct parallel, I wonder how many people were apprehensive when MONSTER Energy was trading at $0.50 and decided against that investment in their portfolio&#8212; now it’s up in the $80 range.</p>

<p>Thank you for all of your online purchases this weekend. Nothing more exciting for me to come in on a Monday morning and hear the shipping room grumbling! We have over 150 orders just from <a href="http://bebevco.com/koma-unwind-20-for-20/">our promotion</a>.</p>
<p>There has been a lot going on this month&#8230; My travels have taken me to six states and two countries since the New Year started. The Relaxation Revolution is rolling more and more every day. I can tell you there is nothing more rewarding than to make and sell a product that has such a positive effect on all those who drink it&#8230; Except for the fact that I get to do it every day, along with hiring people and being part of their personal growth and future. </p>
<p>Now all we hear is how do I get that? For all of you that have been on this ride, THANK YOU!</p>
<p>In the month of February, we did a big push with my friends from the NASCAR family. I want everyone to keep in mind, the racing projects create a multitude of things, including consumer awareness, sampling opportunities, as well as a direct link to every major media outlet in the world. But, more importantly, the Daytona Speedweeks give a small company like ours a chance to mix and mingle with all of the high level executives from every retail industry out there. And, I can tell you this we met a whole lot of them this month. They are asking questions and we are setting up meetings!</p>
<p>Although it has been a long journey, we have finally settled on a formula acceptable for our friends down under (Australia) and the final version of samples are in the mail to them. We hope to finally be able to go to production now. We have a new partner in the Dominican Republic and their product is in transit. <br />I hope to make Euro-Asia Updates soon.</p>
<p>The <a href="http://bebevco.com/bebevco-completes-deal-with-piggly-wiggly-carolina/">Piggly Wiggly rollout</a> starts at the end of the month and we are finalizing the Walmart South Carolina re-launch. Our Walmart expansion will take a big leap in the coming months and we cannot be more excited. We also have other amazing news upcoming that will take us to another level of growth that is pushing us out ward and upward. Our offices are virtually full here and we are adding a bunch of cubical space. Probably by mid-summer we will have added 12-15 more positions.</p>
<p>As so many of you know, building any business is a hard job… It’s a relentless job and it is a tiring job. But as so many of you that know me, a hard day, week, or year of work has never scared me for a second. But I can tell you it is a whole lot easier when people love what you are selling. I urge all of our faithful to continue to be part of our journey by joining our social networks, tell your friends and family.</p>
<p>If you are an investor in our journey, Thank You… I know watching the ebb and flow of the markets is exhausting and scary at times. The facts are on your side; we have the first relaxation drink in Walmart and soon a whole host of other chains! We have the number one brand in this category and the world is watching us grow. The path to the Big Boards is through and with you and that will be extremely beneficial for all those who are onboard. It’s not a matter of if, but a matter of when!</p>

			<content:encoded><![CDATA[<p></p><p>Hello all. Last year I said that we would be looking at a number of things for 2013 that would benefit BeBevCo and its shareholders. I have had many conversations with a lot of different people on the Corporate front as well as the Public side of this business. Some of the items we have addressed are:</p>
<ol>
<li><span style="font-size: small;">Organic growth vs. growth through financing</span></li>
<li><span style="font-size: small;">Increasing the value of the stock by buying back some of the stock in the marketplace</span></li>
<li><span style="font-size: small;">Getting financial audits done and preparing the Company for the day that we move to a senior exchange</span></li>
<li><span style="font-size: small;">European and Asian Expansion of BeBevCo</span></li>
</ol>
<p>With regard to each item, I will take you through what we have decided is the best course for the Company.  Our plan of action will benefit our shareholders in the long term. I value your feedback and nothing is set in stone yet, but here is what our thinking and reasoning is now:</p>
<p><strong>Organic vs. Financed Growth and Stock Buyback</strong></p>
<p>BeBevCo growth has gone beyond my greatest expectations since our move into Walmart. We have added many more Walmarts including south Florida, and the Dallas/Ft. Worth area in Texas and New York. The cost of this growth has required substantial investment. We are having to spend more and more money on production, promotion and all of the other costs involved with having to produce and place a lot more drinks and shots.</p>
<p>Last year, I said we would consider doing a buyback of our stock to clean up our capital structure and to benefit shareholders. However, at this time, does it really make sense for us to do that? Let me explain…</p>
<p>There are two ways we can go with this strategy; one makes sense to me, the other makes less sense at this time. It basically boils down to this:</p>
<p>-          Use our own funds through revenues to continue to grow this Company at a rapid pace or,</p>
<p>-          Buy back the stock in the marketplace immediately and <strong><em>borrow</em></strong> the money for growth</p>
<p>At this time, if we put a stop on growth and buy back the stock, the stock price will be higher but we will have to do an equity-based financing to get the money to continue our growth. If at all possible, I think most would agree that avoiding dilution is the way to go. What do you think we should do?</p>
<p>However, this does not mean that we will not buy back stock; we are going to buy back stock but we are going to do so with a discretionary buyback. Throughout this year, rather than have an organized and well publicized buyback, we will buy back the stock periodically. It is in our best interest and in our shareholder’s best interest to buy back the stock over time to reduce the number of shares available in the marketplace. This feeds into our strategy which is outlined in the section below, Audit/Senior Exchange.</p>
<p>Finally, I understand completely the patience it requires on the part of the shareholders. But I also deal with both the growing pains every day, new job hiring, as well as the needs of the Company. Fortunately I have a front seat for the many projects coming at us from major partnerships, both wholesale and retail that are not yet public. So, basically I have information that you do not have yet. Because of the nature and speed of growth everything, we review and discuss weekly, and everything is always subject to be modified. I believe our business model is<em> fluid and not rigid.</em><em></em></p>
<p><strong>Audit/Senior Exchange</strong></p>
<p>We feel that to best prepare BeBevCo going forward is to begin the process of getting our financials audited. We are planning to begin that process later this year. We want to move BeBevCo to a senior exchange at some point in the future and our growth as a Company will certainly justify the move. It would be much easier to facilitate a move to a higher exchange with our revenues ramping up and at a multiple of our current revenue growth rate.</p>
<p>At the same time, I do not believe that getting to fully reporting status and moving to the OTCQB or OTCBB is in our immediate best interest due to the cost and the time involved in getting all of this done. What I am saying is to get our financials audited and continue to get audits of each quarter done going forward. This will be a big step and will have us prepared for the move to the senior exchange.</p>
<p>I believe the best strategy for us is to earn a higher value for BeBevCo to get to the higher stock price required to be listed on a senior exchange such as the NASDAQ, AMEX or NYSE. However, this may not be the best or most practical route.  An alternative may be to purchase a senior exchange vehicle or go through the Form 10 process and merge BeBevCo into a new vehicle or via a registration. This would benefit the Company by having a much cleaner capital structure and benefit shareholders of BBDA by having a higher- priced stock.</p>
<p>Again, not set in stone, but this is the solution we are leaning toward at this time.</p>
<p><strong>European and Asian Expansion</strong></p>
<p>As I said in my previous update, we had a short delay on our formal announcement of our Euro/Asian expansion. All is back on track now and we expect to start making these announcements as early as this week. Stay tuned.</p>

			<content:encoded><![CDATA[<p></p><p>Greetings Everyone, and a Happy New Year. Sorry has taken me so long to get this done. We are having an ice storm and that has grounded me for the day!</p>
<p>The New Year has been crazy! Never before have we had so much going on, I thought we would ease into more through the month of January. Yeah that’s not happening. We are operating wide open… Distributors calling, talking to chains stores, Trade Shows, meetings, meetings and more meetings!</p>
<p>From Dec 1 until this week I have been on 26 airplanes! We have hired 5 people this month alone, and are close to hiring 3 more. We are adding 1400 more square feet of offices and just bought (14) 8&#215;8 cubicles to outfit our new office space.</p>
<p>The Relaxation Revolution is running on all cylinders. Our NYC location, started a bit ugly with our keys and Hurricane Sandy coming in the same week. But Ricky has things moving along and gaining momentum there. Our EU project had a brief setback, but is certainly happening very soon. (Because we haven’t announced anything doesn’t mean there isn’t a lot happening!)</p>
<p>We also had a good meeting with Walmart in Bentonville, Arkansas; KOMA UNWIND is still the only relaxation drink in Walmart. Heck we added over 25 locations this month!</p>
<p>In the next few weeks, we will make some announcements about the first and second quarter marketing initiatives, new partners, and some other fun stuff. I will be finalizing our plans on the stock buyback, and all things about our next 12 months.</p>
<p>This time I will lay it out differently to shareholders with a what we are doing, followed by why we are doing it. From time to time, I meet some of you investors, at shows or on the phone or even when you come visit us here at the office. I have learned more about you and what you need from me on a communication front and I hope I can keep learning.</p>
<p>The office will be open all day 10AM to 8PM on Daytona 500 Sunday Feb 24 for anyone who wants to come out to the BeBevCo Theater and enjoy the race</p>

			<content:encoded><![CDATA[<p></p><p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">Last week was the busiest December week I probably have ever had… It started from our NC office Monday and spent Monday night in Henderson, AR. Then onto Bentonville Tuesday, back to the NC office Wednesday then to Houston, TX Wednesday then back to NC office Thursday night at midnight then left NC for Brooklyn, NY at 5AM Friday and then back home Saturday with my fantastic grandparents in Tow! </span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">Yes it was exhausting; yes is was productive, and yes I love it! I was going to try writing a great holiday message; but I won’t. In a nutshell, everything is going great, and we are very busy, and we are constantly moving forward.</span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">I sat in my office in Brooklyn on Friday, fielding calls and discussing our accomplishments and projects that will take us into 2013 with Rick, our manager. The news came across of this horrible tragedy in Connecticut. I found myself affected and upset. Not again, I thought. I have tried both in my personal life as in my business life to keep my political position and religious thoughts to myself. This time I have something to say!</span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">As we all get ready to celebrate this Holiday Season, my heart hurts for those who won’t be able to celebrate. I have not yet been blessed with children, but I love them. I can’t even imagine the pain being suffered in Connecticut and many other places around the country were lives are cut short.</span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">So my message for anyone who will read this:</span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">Renew your faith, Love your family, rise above simple disagreements, cherish your time and your life on this planet. As our politicians continue to argue the path forward, you and I can do two things to help:</span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">1) If you know or are related to anyone who seems troubled, you cannot sit quietly by anymore. Speak up and reach out to that person.</span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">2) If you are a gun owner, (which I am) or you have gun owners in your family, go today to any sports store and buy gun locks for everyone you know and give them as presents! </span></p>
<p><span style="font-family: arial, helvetica, sans-serif; font-size: small;">Who knows what will help; there is no silver bullet here. But if everyone gets involved perhaps we can save one precious life together…</span></p>
<p><span style="font-size: small; font-family: arial, helvetica, sans-serif;"><em style="font-family: 'times new roman', times;">I leave with this prayer:</em></span></p>
<p><span style="font-size: small; font-family: arial, helvetica, sans-serif;"><strong style="font-family: 'times new roman', times;">Lord God, source and destiny of our lives, in your loving providence, you gave us these beautiful children to grow in wisdom, age, and grace.</strong></span></p>
<p><span style="font-size: small; font-family: arial, helvetica, sans-serif;"><strong style="font-family: 'times new roman', times;">Now you have called them to you. We grieve over the loss of these so young and struggle to understand Your purpose.</strong></span></p>
<p><span style="font-size: small; font-family: arial, helvetica, sans-serif;"><strong style="font-family: 'times new roman', times;">Lord please draw them close to You and give them full stature in Christ. May they stand with all the angels, who know Your Love and Praise Your will.</strong></span></p>

<p>It always amazes me how the fear spread by the few can manipulate the minds of the many. Years ago we went to war over WMD that seemingly didn&#8217;t exist. Billions of dollars later and many human lives lost, the few got what they wanted. Couple of years ago a Bird Flu pandemic was going to eradicate human life unless you had Tamiflu tablets.</p>
<p>Now we are faced with “fiscal cliffs”, Global Warming, the end of time according to the Mayan calendar and a DTC Chill.</p>
<p>Well, ladies and gentleman, I don’t live my life like that.  I base my best decisions on the facts and science and not always listening to those screaming the loudest. If a person tells you he knows everything about something, he is probably lying&#8230; Yesterday,  while I was with our attorney, I got frantic texts that the DTC locked our stock. Then all day our team riffled through emails from people and reached out to all agencies that would or could do this. But nothing came up. Nothing changed at the DTC.  We have had a chill for over 2 years (DTC only has 5 million shares of BBDA; the rest is traded institutionally).  We have spent thousands of dollars looking for a DTC solution to no avail. However we do have a renewed attempt on the way.</p>
<p>So at the end of the day, once again, I’m told the fear mongers got their way; they scared the hell out of the many. I suspect as they continue to scare people they also continue to buy. And that is what they do. One of our very knowledgeable advisors told me yesterday&#8211;  “Don’t believe it’s possible to only SELL”.</p>
<p>Because a seller needs a buyer.  And those who are buying are the winners this time&#8230;</p>
<p>I have said it many times before; we are not going anywhere. Your stock is in this company and if you can’t sell it or buy it today, we will always work on the behalf or the shareholders to get the wheel rolling again. We are a long way from our pinnacle but there is no doubt we are on the right path. I live and breathe this company and its products&#8230; and will always.</p>

			<content:encoded><![CDATA[<p></p><p>Greetings everyone! It’s been a few weeks since my last message and I know everyone would love to hear more from me! Thank you for that.</p>
<p>Things are going well and progress is continuing as we start setting up for the next chapter of our growth. We have a couple of new hires in-house, and have added several more new brokers to help us cover more ground faster with regard to moving products.</p>
<p>Our facility in NYC was just turned over to us a few days before the storm and things were set back a little. But, we are already selling products to our jobbers and new partners. So if you need some Cocaine (Energy Drink), Relax (Koma Unwind), or recover from a hangover (Hangover Joe&#8217;s), we can hook you up.  Our address is: 670 Berriman St., Brooklyn, NY.</p>
<p>Ricky Yandoli, our President and General Manager of our new subsidiary, Bebida Beverage Company of New York, LLC has had some great meetings with several retailers that are positioning to join us as well.</p>
<p>Our new partners in Europe are closing out their affairs in their current positions and are anxious to begin a new chapter by leading the charge in introducing KOMA UNWIND to over 58 counties for distribution. We now have the last documents needed to finalize the Slovak Corp., and we hope that will be processed in the next two weeks. They say in life, “Some things are worth the wait”. I promise you, this is one of those things.</p>
<p>In the next few weeks myself and several others have meetings with potential distributors and retailers anywhere from Bentonville AR , to Massachusetts, New Mexico, Texas, Georgia and Florida, as well as several other cities across the country. The relaxation revolution is growing every day.</p>
<p>Please keep up the pressure on your local retailers.  Ask for KOMA Unwind by name.  We have seen orders come in because a retailer has had a request for KOMA Unwind, so it does work.</p>
<p>I will be in the New York  building tomorrow (Friday), if anyone wants to stop by.</p>

			<content:encoded><![CDATA[<p></p><p>Greetings everyone. WOW what a few weeks it has been. </p>
<p>Today’s announcement was another big step for BeBevCo – taking our future in our own hands. BeBevCo of NY will have a home this week, and Ricky Yolandi is already running at full tilt! We have big expectations and plans for growth for this project. New York City, unlike most places in the USA, has thousands of independent jobbers and distributors&#8211; all hungry for the next big thing to show their customers! And we now have several of the next best things and will have even more products shortly!</p>
<p>My trips to Detroit has finally produced a new deal that is being worked out. After that I was off to Brussels… Brussels was another opportunity for personal growth as well as a great opportunity to share both my ideas about the future of functional beverages as well as our fantastic products. I had the audience both laughing and clapping. I guess i did well! I also had an opportunity to dine with a long term investor who will be developing a European online store for Koma Unwind which we will announce once everything is signed.</p>
<p>Now I am gearing up for another crazy ten days… Working out the lease in NYC, getting product out, setting up meetings with prospective distributors at next week&#8217;s Association for Convenience &amp; Fuel Retailing (NACS}) show in Las Vegas and then back in Charlotte for a press conference at the Charlotte Speedway which we are involved with and doing some essential B2B at the races next week. Back at the office, we are working on expanding our Walmart project, coordinating with our client on the timing of an upcoming TV commercial and, as always, building up our production capabilities to ensure rapid delivery of the daily orders. We are in the midst of looking at new graphics designs too. </p>
<p>And as if all this was not a full plate, we are getting close to launching our expansion into Europe. </p>

<p>I woke up this morning to a host of emails once again from concerned shareholders over apparently the rampant attacks and conversations on the blogs. At first I thought to not even address this again. But then as President Clinton recited Reagan last night in his speech “Here they go again” I decided I would for the sake of all the faithful and dedicated.</p>
<p>We have had a long, tedious, and persistent journey when it comes to the OTC markets. We have proven that hard work, great product and persistence can win out even in these OTC conditions that, as a general rule, are developmental companies with ideas but no plan.</p>
<p>As I have said many times before; we have a plan! We have adjusted occasionally but fundamentally we are following the plan. We are now in what I spelled out months ago as a “plateau period,” the next part of our plan is a slow and tedious share buyback over time. The haters want you to believe it’s not conceivable for a number of reasons. They are correct about one piece of their rant: it will be expensive, but that is the best part for investors. I have asked over the years for your support to rally around our vision and help us capitalize and keep moving forward. We will return your efforts and investments with the fruits of ours. Yes it may be costly, but it is the right thing to do!</p>
<p>In closing, please continue to ask yourselves: why and how can self proclaimed investors bash and destroy at such a constant and feverish pace for so long? I’ll tell you why! I have been all over this country asking that question… the secret is out! They bash and collect stock as it falls from those who listen to their banter and fear. Then, they quiet down and run this stock up and sell. This is done both by individuals and collections of Wall Street groups.</p>
<p>I have said it before, I cannot give advice on your participation level of our stock and company, but these are the facts: we have the #1 brand of Relaxation Product in the USA, we have continued to grow steadily and haven’t even hit our massive growth curve; we have a plan! My team and I will not be out worked by anyone!</p>
